Introduction
This Affiliate Agreement ("Agreement") is between you, the Affiliate/Publisher ("Affiliate"), and Advertrek LTD ("Company"). By signing up as an affiliate, you acknowledge that you have read and understand the provisions set forth herein.
1. Affiliate
1.1. The Company accepts Affiliates at its sole discretion, with a minimum age requirement of 18 years.
1.2. Upon acceptance, an Affiliate account will be set up for administrative, legal, and financial purposes.
1.3. The Company engages the Affiliate as a non-exclusive Affiliate.
1.4. The Affiliate agrees to promote the Company's sites and services in compliance with applicable laws and these terms and conditions.
2. Termination
2.1. Either party may terminate this Agreement without cause at any time.
2.2. Upon termination, the Affiliate must cease using the Company's licenses, sites, and services immediately.
3. Sites, Services, and Restrictions
3.1. Affiliates will receive JS Tags or links to the Company's websites and services.
3.2. Affiliates must use the provided links and JS tags in compliance with this Agreement.
3.3. Affiliates are not permitted to alter, modify, or expand the provided links and JS tags.
3.4. Affiliates shall only promote websites assigned by the Company.
3.5. Affiliates shall not engage in any illegal activities or violate third-party rights.
4. Youth Protection & Guarantees
4.1. Affiliates must comply with applicable laws, including media laws and regulations.
4.2. Affiliates will indemnify the Company against any claims arising from violations of the foregoing paragraphs.
5. Affiliate Commission
5.1. Commission rates are negotiated between the Company and the Affiliate.
5.2. Payments are made 60 days after the end of the relevant calendar month.
5.3. Minimum balance for payment is USD 100.
5.4. Accounts with no payment actions for 6 months will be deemed abandoned and terminated.
6. Ownership & Intellectual Property
6.1. All materials provided by the Company remain its exclusive property.
6.2. The Company owns all copyrights, trademarks, and intellectual property rights.
7. License
7.1. Affiliates are granted a revocable, non-transferable, royalty-free license to display links and JS tags.
7.2. The license terminates upon the expiration or termination of this Agreement.
8. Non-Competition
Affiliates shall not engage in businesses that compete with the Company.
9. Confidentiality
Affiliates agree to treat all information related to this Agreement as confidential.
10. Limitation of Liability
The Company shall not be liable for any indirect, incidental, or special damages.
11. Indemnification
Affiliates agree to indemnify the Company against any claims arising from violations of this Agreement.
12. Force Majeure
The Company is not liable for failures due to uncontrollable events.
13. General
13.1. All changes to this Agreement must be in writing.
13.2. This Agreement is subject to the laws of the United Kingdom.
13.3. Jurisdiction for all court cases is London, United Kingdom.
